1. Acceptance of the Terms
Welcome to S.FORTI ERP, the business management system developed and maintained by S.FORTI TECNOLOGIA.
By accessing or using our system, website or any service offered by S.FORTI TECNOLOGIA, you declare that you have read, understood and agreed to these Terms of Use in their entirety.
If you do not agree with any provision of these Terms, you must not use our services.
Important: The use of the system implies the automatic and unrestricted acceptance of all the terms and conditions set forth herein, as well as of our Privacy Policy.
2. Definitions
For the purposes of these Terms of Use, the following definitions apply:
- S.FORTI TECNOLOGIA or "We": The company responsible for the development, maintenance and provision of the S.FORTI ERP system.
- User or "You": The individual or legal entity that accesses or uses the services of S.FORTI TECNOLOGIA.
- System or Platform: The S.FORTI ERP software, including all of its features, modules and updates.
- Account: The individual registration created by the user to access the system.
- Data: All information entered, stored or processed by the user in the system.
- Subscription: The plan contracted by the user to use the services.
3. Description of the Services
The S.FORTI ERP is a cloud-based enterprise resource planning (ERP) system that offers the following modules and features:
- Financial Module: Accounts payable, accounts receivable, cash flow, bank reconciliation and income statement (DRE).
- Billing Module: Sales orders, quotes, issuance of NF-e/NFC-e and commission management.
- Purchasing Module: Requisitions, quotations, purchase orders and XML import.
- Inventory Module: Product control, movements, stocktaking and multi-warehouse management.
- CRM Module: Registration of customers and suppliers, interaction history and segmentation.
- Collaborative Module: Project management, tasks with Kanban, real-time chat and notifications.
- Construction Management Module: Contracts, measurements, amendments, construction logbook and SINAPI integration.
- Administrative Module: Users, permissions, multi-company, auditing and settings.
S.FORTI TECNOLOGIA reserves the right to add, modify or discontinue features of the system, upon prior notice to the users.
4. Registration and Account
4.1 Registration Requirements
To use the system, the user must:
- Have full legal capacity or, if a minor, be duly represented;
- Provide truthful, complete and up-to-date information;
- Have the authority to represent the legal entity, where applicable;
- Fully accept these Terms of Use and the Privacy Policy.
4.2 Responsibility for the Account
The user is fully responsible for:
- Maintaining the confidentiality of their access credentials (login and password);
- All activities carried out under their account;
- Immediately notifying S.FORTI TECNOLOGIA of any unauthorized use;
- Keeping their registration data up to date.
5. User Obligations
By using our services, you agree to:
- Use the system in a lawful manner and in compliance with Brazilian legislation;
- Not infringe the rights of third parties, including intellectual property;
- Not transmit viruses, malware or malicious code;
- Not attempt to obtain unauthorized access to the system or to the data of other users;
- Not reverse engineer, decompile or disassemble the software;
- Not resell, sublicense or assign access to the system without authorization;
- Not use the system for illegal, fraudulent or harmful purposes;
- Respect the usage limits established in your subscription plan.
6. Intellectual Property
All intellectual property rights related to the S.FORTI ERP system, including, but not limited to:
- Source code, algorithms and system architecture;
- Design, interface and user experience;
- Brand, logos and visual identity;
- Documentation, manuals and training materials;
- Any update, modification or improvement.
Are the exclusive property of S.FORTI TECNOLOGIA and are protected by Brazilian intellectual property legislation.
The user receives only a limited, non-exclusive, non-transferable and revocable license to use the system in accordance with the contracted plan.
Your Data: The data entered by the user in the system remains the property of the user. S.FORTI TECNOLOGIA does not claim ownership over the users' data.
7. Payments and Subscription
7.1 Plans and Prices
The prices of the subscription plans are available on our website or upon request. Prices may be changed upon prior notice of 30 (thirty) days.
7.2 Billing
- Payment shall be made in advance, according to the chosen billing cycle (monthly or annual);
- Non-payment may result in the suspension or cancellation of access to the system;
- There is no refund for partial periods of use, unless otherwise provided.
7.3 Trial Period
When available, the free trial period allows the user to evaluate the system before contracting. At the end of the trial period, it will be necessary to contract a plan in order to continue using the system.
8. System Availability
S.FORTI TECNOLOGIA will use its best efforts to keep the system available 24 hours a day, 7 days a week. However, access may be temporarily interrupted for:
- Scheduled maintenance (with prior notice when possible);
- Emergency maintenance;
- System updates;
- Fortuitous events or force majeure.
S.FORTI TECNOLOGIA does not guarantee uninterrupted availability and shall not be held liable for interruptions or slowness resulting from factors beyond its control.
9. Limitation of Liability
S.FORTI TECNOLOGIA shall not be liable for:
- Indirect, incidental, special, consequential or punitive damages;
- Loss of data caused by failures of the user or of third parties;
- Business decisions made based on information from the system;
- Misuse of the system by the user or third parties;
- Connectivity, hardware or software problems of the user;
- Acts or omissions of third parties.
In any event, the liability of S.FORTI TECNOLOGIA shall be limited to the amount paid by the user in the last 12 (twelve) months of subscription.
10. Termination
10.1 Termination by the User
The user may cancel their subscription at any time, effective at the end of the current billing period.
10.2 Termination by S.FORTI TECNOLOGIA
S.FORTI TECNOLOGIA may suspend or cancel the user's access in the event of:
- Violation of these Terms of Use;
- Default in payment;
- Fraudulent or illegal conduct;
- Use that compromises the security or integrity of the system.
10.3 Effects of Termination
After termination:
- Access to the system will be immediately revoked;
- The user's data will be retained for 30 (thirty) days for eventual export;
- After this period, the data may be permanently deleted.
11. Changes to the Terms
S.FORTI TECNOLOGIA reserves the right to modify these Terms of Use at any time. Changes will be communicated by:
- E-mail to registered users;
- Notice within the system;
- Publication on the official website.
Continued use of the system after the communication of the changes implies acceptance of the new terms.
12. General Provisions
12.1 Applicable Law
These Terms of Use are governed by the laws of the Federative Republic of Brazil.
12.2 Jurisdiction
The courts of the Judicial District of Londrina - PR are hereby elected to settle any disputes arising from these Terms, with waiver of any other, however privileged it may be.
12.3 Severability of the Clauses
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.4 Forbearance
The forbearance of one party regarding any breach shall not constitute a waiver or novation of the rights established herein.
